Project terms
Effective 26 October 2026
These terms apply to every project Voronoi Studios ("we") makes for a client ("you"), unless a quote or agreement we've both signed says otherwise. They're written to be read: if anything is unclear, ask us at hello@voronoi.studio before you approve a quote.
01Quotes and scope
Every project starts from a written brief and a fixed quote that sets out the deliverables, formats, schedule and price. Quotes are valid for 30 days. If the scope changes after you approve a quote, we'll quote the change before doing the work.
02Payment
- Deposit: 50% of the quote, invoiced on approval. Work starts when it's paid.
- Balance: 50%, invoiced when you approve the final cut. We deliver the final files when it's paid.
- Invoices are due within 14 days, in the currency on the quote (US dollars unless agreed otherwise), by bank transfer. Prices exclude any applicable taxes.
- Voice-over talent, premium music and other third-party costs are passed on at cost and may be invoiced when they're booked.
If an invoice is overdue, we may pause work until it's paid; the schedule moves by the same amount.
03Schedule and feedback
The schedule in the quote starts when the deposit and the materials we need (logos, brand guidelines, product files) have arrived. Each stage needs your feedback or approval within two working days; if it takes longer, the delivery date moves accordingly. Rush delivery is available for an extra 25% where the schedule allows.
04Revisions
Each stage (script, look and animation) includes two rounds of revisions. Further rounds cost $350 each. Changes to a stage you've already approved, such as rewriting an approved script after animation has started, are treated as a change of scope and quoted first.
05Your materials
You confirm that you own or have permission to use everything you give us (logos, footage, photos, music, product files and text), and that the claims made about your products or services in the script are accurate. You're responsible for the approval of your film's message and claims for your market.
06Ownership and usage rights
When the project is paid in full, you receive the rights to use the final delivered films for the uses described in the quote, worldwide and without time limit unless the quote says otherwise. Until then, the work remains ours.
Third-party elements such as licensed music, stock footage, fonts and voice-over talent are used under their own licences, which we pass on to you with the files. Working files (project files, 3D scenes, rigs and source assets) stay with the studio unless the quote includes them.
07Our portfolio
Once a film is publicly released, we may show it in our portfolio, showreel and social channels and name you as the client. If you'd rather we didn't, tell us in writing before the project starts and we'll keep it private.
08Confidentiality
We keep your unreleased work, plans and business information confidential and only share them with people working on your project. If you need a separate non-disclosure agreement, we're happy to sign a reasonable one.
09Cancellation
You can cancel a project at any time by email. The deposit covers the work done up to that point and isn't refundable once work has started; if the work done is worth more than the deposit, we'll invoice the difference, pro rata. No rights in unfinished work transfer on cancellation.
10Liability
We take care to deliver exactly what we agree. As far as the law allows, our total liability for any project is limited to the fees you've paid for it, and we're not liable for indirect or consequential losses such as lost profits or missed opportunities.
11Law
These terms are governed by the laws of the Federal Republic of Nigeria. If a disagreement arises, we'll first try to resolve it in good faith by talking it through.
12Changes
We may update these terms for future projects; the version in force when you approve a quote applies to that project. Personal information is handled under our privacy policy.
